This is a public template — the structure and doctrine of the instrument every First Brick trustee signs, with names, dates, and identifying figures removed. No trustee's name appears anywhere on this site. What you see here is the shape of the agreement, not the executed document.
Governing Authority
This Agreement's binding authority is the Quran, the Sunnah, and classical Islamic scholarship — not the Bangladesh state legal system, which is not treated as an independent source of legitimacy over this instrument. Per the mission's own Form vs. Substance principle, this Agreement is drafted with the thoroughness that would also satisfy Bangladesh's national legal framework wherever that framework aligns with core Islamic principles — not because state compliance is the source of its authority, but because rigor is good drafting, and a document sound enough to withstand secular scrutiny is a stronger shield for Substance, not a concession to it.
The Foundational Prohibition
"Allah has permitted trade and forbidden riba." — Al-Baqarah 2:275. This Agreement contains no interest, no fixed or guaranteed return on capital, and no mechanism under which money generates money without genuine trade, risk, or gift.
Two Instruments, Stated Separately
Each trustee's commitment of [amount] divides into two portions, never blended into one undifferentiated "investment":
Musharakah (trade capital) — a genuine profit-and-loss partnership in the brick's trading operation. Profit is distributed by pre-agreed ratio; loss is borne strictly in proportion to capital contributed, per unanimous scholarly consensus (ijma') on this point. No principal guarantee is offered — a Musharakah with a guaranteed return of principal is not a Musharakah.
Waqf (infrastructure capital) — a charitable contribution toward the brick's physical and operational base. A waqf is, by its classical legal nature, an irrevocable dedication — once given, the corpus does not return to the giver. This is not a failure condition; it is what a waqf is. In exchange, the Foundation owes a complete, honest accounting of how this portion was spent.
Disbursement
Capital is called in tranches, each gated on a milestone — signing, an MVP-ready milestone, and a written progress-or-failure report reviewed before the final tranche releases. A trustee's exposure at any point is limited to what has actually been disbursed and deployed, never to the full commitment.
On Failure
If the trade underperforms, the loss on the Musharakah portion is real and proportionate — not hedged, insured, or backstopped. The waqf portion carries no financial "failure" clause: no return was promised, so none is owed back; what is owed is a full written account of where it went, delivered regardless of whether the outcome is one the Foundation is proud to report.
Governance — Trust Through Architecture, Not Authority
This Agreement does not ask a trustee to trust the Foundation's word. Every material figure a trustee relies on is independently checkable: disbursements and trade settlements are recorded on public ledgers, not asserted from memory. A trustee's confidence should rest on what they can check, not on who is asking them to sign.
Smart-contract settlement is a stated technology-layer goal, not yet built — this Agreement is honest about administering tranches manually against the ledger for now, rather than claiming a capability it does not yet have.
Term
Each Agreement governs one brick only — a single, bounded trade-and-infrastructure cycle. It creates no standing membership, no board rights, and no claim on any future brick unless separately and explicitly agreed.
This template omits: trustee identities, exact disbursement amounts and dates, specific tranche figures, and the full doctrinal citation apparatus (Quranic ayat, hadith references, and named classical/modern fiqh authorities) that the executed Agreement carries in full. Every trustee reads and holds the complete, sourced, named instrument before signing — this page is not a substitute for that document, and never claims to be.
